Terms of Use

01 Purchases

If you wish to purchase any product or service made available through the Service (a “Purchase”), you may be asked to provide certain information relevant to your Purchase, including your payment information, billing address, and other information necessary to complete the transaction.

You represent and warrant that: (a) you have the legal right to use any payment method used in connection with a Purchase; and (b) the information you provide is true, accurate, and complete.

We may use third-party service providers to facilitate payments and the completion of Purchases. By submitting your information, you authorize us to provide that information to such third parties, subject to our Privacy Policy.

We reserve the right to refuse or cancel any order at any time for reasons including product or service availability, errors in pricing or description, errors in your order, suspected fraud, or any unauthorized or illegal transaction.

02 Availability, Errors, and Inaccuracies

We may update or change the Service, including product and service offerings, at any time. Information available through the Service may occasionally contain errors, inaccuracies, or omissions, including with respect to descriptions, pricing, and availability. We do not guarantee that any information on the Service is accurate, complete, or current.

We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information, at any time without prior notice.

03 Subscriptions

Some parts of the Service may be provided on a subscription basis (each, a “Subscription”). If applicable, you will be billed in advance on a recurring and periodic basis (the “Billing Cycle”), which may be monthly or annual depending on the subscription plan you select.

At the end of each Billing Cycle, your Subscription may automatically renew under the same conditions unless you cancel it or Zira cancels it. If you wish to terminate Zira services, written notice must be provided 90 days prior to renewal. You may cancel your Subscription renewal through your account settings, if available, or by contacting Zira customer support.

You must provide current, complete, and accurate billing information for all Subscriptions. By submitting payment information, you authorize Zira to charge all Subscription fees incurred through your account to the applicable payment method.

If automatic billing fails for any reason, Zira may issue an electronic invoice requiring manual payment by the date stated in the invoice.

04 Free Trial

Zira may, at its sole discretion, offer a Subscription with a free trial for a limited period (a “Free Trial”). You may be required to provide billing information in order to sign up for a Free Trial.

If billing information is required, you will not be charged until the Free Trial expires. Unless you cancel your Subscription before the end of the Free Trial, you may be charged the applicable Subscription fees at the end of the Free Trial period.

Zira reserves the right to modify or cancel any Free Trial offer at any time.

05 Fee Changes

Zira may modify Subscription fees at any time in its sole discretion. Any fee change will become effective at the end of the then-current Billing Cycle. Zira will provide reasonable prior notice of any material change in Subscription fees.

Your continued use of the Service after a fee change becomes effective constitutes your agreement to pay the modified fee.

06 Refunds

Refund requests for Subscriptions may be considered by Zira on a case-by-case basis and granted in Zira’s sole discretion.

07 Accounts

When you create an account with us, you represent that you are at least 18 years old and that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or outdated information may result in suspension or termination of your account.

You are responsible for maintaining the confidentiality of your account credentials and for restricting access to your account and devices. You agree to accept responsibility for all activities that occur under your account. You must notify us immediately if you become aware of any unauthorized use of your account or any other breach of security.

You may not use as a username the name of another person or entity, a name or trademark subject to the rights of another party without authorization, or any name that is offensive, vulgar, or obscene.

We reserve the right to refuse service, suspend or terminate accounts, remove or edit content, or cancel orders at our sole discretion.

08 Links to Third-Party Websites

The Service may contain links to third-party websites or services that are not owned or controlled by Zira. We do not control, and are not responsible for, the content, policies, or practices of any third-party websites or services.

You acknowledge and agree that Zira shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of or reliance on any content, goods, or services available through any third-party websites or services.

We encourage you to review the terms and privacy policies of any third-party websites or services that you visit.

09 User Content

“User Content” means any information or content that you submit through the Service. You are solely responsible for your User Content and for any consequences of submitting or using it.

You represent and warrant that your User Content does not violate any applicable law, infringe any third-party rights, or violate these Terms or any applicable acceptable use requirements.

You grant Zira a non-exclusive, worldwide, royalty-free, fully paid license to use, reproduce, store, display, distribute, and process your User Content solely as necessary to operate, provide, maintain, and improve the Service.

Zira is not obligated to back up User Content and may remove or delete User Content as permitted by law or these Terms. You are responsible for maintaining your own backup copies of any User Content you submit, if relevant.

10 Termination

We may suspend or terminate your account or access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may stop using the Service at any time. If you wish to terminate your account, you may do so through your account settings, if available, or by contacting us.

Any provisions of these Terms that by their nature should survive termination shall survive, including provisions relating to ownership, disclaimers, indemnity, limitations of liability, and governing law.

11 Indemnification

You agree to defend, indemnify, and hold harmless Zira and its affiliates, licensors, service providers, officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) your use of the Service; (b) your User Content; or (c) your breach of these Terms.

12 Limitation of Liability

To the maximum extent permitted by applicable law, Zira and its affiliates, directors, officers, employees, contractors, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your access to, use of, or inability to use the Service, whether based on warranty, contract, tort, negligence, strict liability, or any other legal theory, even if Zira has been advised of the possibility of such damages.

13 Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of performance, to the maximum extent permitted by applicable law.

Zira does not warrant that: (a) the Service will be uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.

14 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for certain damages. Accordingly, some of the above limitations may not apply to you.

15 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between you and Zira regarding the Service and supersede any prior agreements regarding the Service.

16 Changes to These Terms

We reserve the right to modify or replace these Terms at any time in our sole discretion. If we make a material change, we will provide notice as required by applicable law or by posting the updated Terms through the Service. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms.
